Financial Disclaimer
1Information Only
1.1 Neurolith provides automated, probabilistic analysis of crypto-assets for general information and educational purposes only. This Financial Disclaimer applies to everything the Service produces or publishes, including every Call, probability, score, label, chart, profit-and-loss figure, example, guide, social media post, Discord message, email and document, whether you use a free Plan or a paid Plan. Capitalised terms not defined here have the meaning given in the Terms of Service.
1.2 NOTHING PROVIDED BY NEUROLITH IS FINANCIAL, INVESTMENT, TRADING, LEGAL, TAX OR ACCOUNTING ADVICE, OR A RECOMMENDATION, OFFER OR SOLICITATION TO BUY, SELL OR HOLD ANY CRYPTO-ASSET, SECURITY OR OTHER FINANCIAL INSTRUMENT.
2Not a Personal Recommendation
2.1 Calls are produced automatically by the same models and rules for every user, from public market and blockchain data. They are not prepared for you, and they do not take into account your financial situation, objectives, knowledge, experience, risk tolerance, tax position or any other personal circumstance.
2.2 Where you enter an amount you hold or an entry price, Neurolith uses it only to calculate arithmetic figures such as profit and loss and the cost of selling. Entering it does not turn a Call into personal advice, and a label such as “Buy more”, “Hold”, “Sell part” or “Sell all” remains a statistical classification, not an instruction.
3Paying Does Not Change This
3.1 Paying for a Plan buys access to more Calls, features or models. It does not create an advisory, fiduciary, agency or professional relationship, it does not entitle you to personal advice, and it does not change the nature of any Call. A paid Call is exactly as informational, and as fallible, as a free one.
4No Regulated Activity
4.1 Neurolith is not a broker, dealer, exchange, custodian, crypto-asset service provider, investment adviser, investment firm, portfolio manager, commodity trading adviser or fiduciary, and is not authorised, registered or supervised as any of these by any financial regulator in any jurisdiction, including the U.S. Securities and Exchange Commission, the U.S. Commodity Futures Trading Commission, the UK Financial Conduct Authority or any authority of a Member State of the European Union. Neurolith does not provide advice on crypto-assets within the meaning of Regulation (EU) 2023/1114 on markets in crypto-assets.
4.2 Neurolith never holds, transfers or trades assets on your behalf, never receives or transmits orders, and never asks for your private keys, seed phrase or access to your wallet. Anyone who claims to act for Neurolith and asks for any of these is not acting for us.
5No Guarantee of Accuracy or Results
5.1 Calls rely on third-party data that may be delayed, incomplete or wrong, on statistical base rates measured on past coins, and on automated language models that can make mistakes. A probability describes how often similar situations turned out a certain way in the past; it is not a prediction that any particular outcome will happen. A Call with 70% odds is expected to be wrong about three times in ten.
5.2 Past performance, measured base rates, track records and examples, including any example Call shown on the website, do not indicate or guarantee future results. Neurolith makes no representation that any Crypto-asset is safe, legitimate, liquid or free of malicious code, or that following any Call will produce a profit or avoid a loss.
6Your Responsibility
6.1 You are solely responsible for your investment and trading decisions, for doing your own research, for understanding the risks described in the Risk Disclosure, and for complying with the laws and tax obligations that apply to you. Before making any financial decision, you should seek independent advice from a qualified professional who knows your circumstances.
6.2 To the fullest extent permitted by law, Neurolith and its founders accept no liability for any loss or damage of any kind, including any trading or investment loss, arising from your use of, or reliance on, any Call or other information provided by the Service. The Terms of Service set out the full limitations of our liability and the protections that consumer law may give you.
7Endorsements and Third Parties
7.1 Neurolith is not affiliated with, endorsed by or sponsored by any Crypto-asset, project, exchange, launchpad or platform that appears in the Service, and the appearance of a Crypto-asset in the Service, including in Trending or Most analyzed lists, is not an endorsement. Neurolith does not accept payment to change a Call. Members who share Calls or referral links do so in their own name and are not our agents or representatives.
Risk Disclosure
8Purpose of This Disclosure
8.1 This Risk Disclosure describes the main risks of trading crypto-assets, and of relying on automated analysis such as the Calls produced by Neurolith. It does not describe every risk. Read it, together with the Financial Disclaimer, before using the Service, and do not trade if you do not understand these risks.
9You May Lose Everything
9.1 Crypto-assets, and memecoins in particular, are speculative and extremely high risk. Their value can fall to zero within minutes, and most memecoins lose nearly all of their value. You should be prepared to lose the entire amount you put into any crypto-asset, and you should never trade with money you cannot afford to lose or with borrowed money.
10Market Risks
10.1 Crypto-asset markets are highly volatile, operate around the clock and are largely unregulated. Prices can move sharply on rumours, social media posts, the actions of a few large holders or the activity of automated trading programs.
10.2 Liquidity can disappear without warning. A crypto-asset may become impossible to sell at any price, or only at a price far below the one displayed, and the cost of selling a large position can exceed its apparent value.
10.3 Crypto-assets are not protected by deposit guarantee schemes, investor compensation schemes or similar protections.
11Fraud and Manipulation
11.1 Many memecoins are created or traded with the intention of defrauding buyers. Risks include “rug pulls”, in which developers or insiders remove liquidity or sell their holdings; honeypot contracts that prevent buyers from selling; hidden taxes and owner powers; coordinated “pump and dump” schemes; wash trading; bundled and sniped launches; and impersonation of genuine projects.
11.2 Neurolith’s safety scan looks for some of these signs, but it cannot detect every scheme. A clean scan does not mean that a crypto-asset is safe or legitimate, and a scheme can begin after a scan has been run.
12Technology Risks
12.1 Blockchains, smart contracts, wallets, bridges and exchanges can fail, be attacked or contain errors. Transactions are generally irreversible. Losing your private key or seed phrase, or sending funds to a wrong address, usually means losing your assets permanently. Network congestion and fees can prevent or delay transactions.
13Limits of Automated Analysis
13.1 Every Call is generated automatically and can be wrong. In particular:
- Calls depend on market and blockchain data supplied by third parties, which can be delayed, incomplete or incorrect;
- probabilities are based on base rates measured on past coins, which may not hold for the coin you analyse or in changing market conditions;
- automated language models can misread data or produce incorrect explanations;
- a Call reflects conditions at the moment it was run and can become outdated within minutes; and
- the Service is an early preview, and its models and rules are still being developed and calibrated.
13.2 A probability of 60% means the opposite outcome is expected four times in ten. Calls should be one input among many, never the sole basis for a decision.
14Regulatory, Legal and Tax Risks
14.1 The legal and regulatory treatment of crypto-assets differs between countries and is changing. A change in law or regulation, or an enforcement action, can affect the value, legality or transferability of a crypto-asset, or your ability to use a platform. Trading crypto-assets may give rise to tax obligations, which are your responsibility. It is your responsibility to make sure that trading crypto-assets is lawful where you live.
15Keep Your Assets Safe
15.1 Neurolith will never ask for your private key, seed phrase, password or access to your wallet, and will never ask you to send it funds to “unlock”, “verify” or “boost” anything. Anyone who does so is attempting to steal from you. Only ever connect your wallet to sites you have verified yourself.
16Your Acknowledgement
16.1 By using the Service, you acknowledge that you have read and understood this Risk Disclosure, that you accept these risks, and that you alone are responsible for your decisions and their consequences.
Copyright and DMCA Policy
17Our Policy
17.1 Neurolith respects the intellectual property rights of others and expects its members to do the same. We respond to clear notices of alleged infringement under the U.S. Digital Millennium Copyright Act (the “DMCA”), under Regulation (EU) 2022/2065 on a Single Market for Digital Services (the “DSA”), and under other applicable law. Capitalised terms not defined here have the meaning given in the Terms of Service.
18Reporting Infringement or Illegal Content
18.1 If you believe that content available through the Service infringes your copyright or other rights, or is otherwise illegal, send a notice to contact@neurolith.app with the subject line “Copyright notice” or “Illegal content notice”. Your notice must include:
- your name, address, telephone number and email address;
- a description of the copyrighted work or other right you claim has been infringed, or an explanation of why you consider the content illegal;
- the exact web address or other information that allows us to locate the content;
- a statement that you have a good-faith belief that the use of the content is not authorised by the rights owner, its agent or the law;
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or are authorised to act on the owner’s behalf; and
- your physical or electronic signature.
19Counter-Notice
19.1 If content you submitted was removed and you believe this was a mistake or misidentification, you may send a counter-notice to contact@neurolith.app that includes your name, address, telephone number and email address; identification of the content removed and where it appeared; a statement under penalty of perjury that you have a good-faith belief that it was removed as a result of mistake or misidentification; your consent to the jurisdiction of the courts that apply under the DMCA (or, outside the United States, of any judicial district in which Neurolith may be found) and to accept service of process from the person who filed the original notice; and your physical or electronic signature.
19.2 Where the DMCA applies, we may restore the content 10 to 14 business days after receiving a valid counter-notice, unless the person who filed the original notice informs us that they have started court proceedings.
20Our Decisions
20.1 We will review notices diligently and objectively and act on them without undue delay. Where we remove or restrict content, we will tell the person who submitted it why, unless the law prevents us, and explain how they can contest the decision. Notices that are manifestly unfounded, or that are submitted in bad faith, may be disregarded, and we may stop processing notices from people who repeatedly send them.
21Repeat Infringers
21.1 We will terminate, in appropriate circumstances, the Accounts of members who repeatedly infringe the rights of others.
22Misrepresentations
22.1 Under the DMCA, anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages, including costs and legal fees. Please consider whether a use may be permitted, for example as fair use, before sending a notice.
